These Terms of Service ("Terms") are a public offer by Individual Entrepreneur Sergey Bukreev, a sole proprietor registered in Georgia, identification code 305894618, legal address: Bakhtrioni St., Saburtalo District, Tbilisi, Georgia ("Provider", "we", "us"). • paying for a Subscription, or creating an account for a free plan where one is offered.

Acceptance concludes a contract between you and the Provider on these Terms ("Agreement"). Partial acceptance, or acceptance on other terms, is not possible.

2. Subject of the Agreement

2.1. For the duration of your Subscription, the Provider gives you access to the Service under your chosen Plan. You pay the Subscription fee under these Terms.

2.2. The Service is an information and analytics tool. It is provided as a remotely hosted online service. No software is delivered to you for installation.

2.3. You get a limited, personal, non-exclusive, non-transferable right to access and use the Service for your own needs during the Subscription. You do not acquire any rights in the Service or the Content beyond this.

2.4. The Provider may perform the Agreement personally or engage third parties, such as hosting, data and email providers.

2.5. The Service is intended for persons aged 18 and over.

3. Important risk disclaimer

3.1. The Service is provided for information and educational purposes only.

  • Nothing in the Service is investment, financial, tax or legal advice.
  • Nothing in the Service is a personal recommendation, an offer, or a solicitation to buy or sell any financial instrument or digital asset.

3.2. The Provider is not a broker, investment firm, investment adviser, asset manager or virtual asset service provider.

  • The Provider does not manage your assets.
  • The Provider does not hold or receive client funds for investment.
  • The Provider does not execute trades.

3.3. Scores, indicators, positioning data and alerts are statistical and analytical outputs.

  • They are not instructions or "signals" to trade.
  • They may be incomplete, delayed or inaccurate.
  • Data may come from third-party sources that the Provider does not control.

3.4. Trading and investing carry a high risk of loss, up to the loss of all capital. This applies especially to leveraged products and crypto-assets. Past performance and historical data do not indicate future results.

3.5. You make all trading and investment decisions yourself and at your own risk. Where appropriate, consult a licensed professional.

4. Account

4.1. To use the Service you create an Account and provide a valid email address. You must provide accurate information and keep it up to date.

4.2. The Account is personal.

  • You must keep your login details confidential.
  • You must not share, sell or transfer access to the Account to third parties.
  • Logging in to the same Account from several persons is not allowed.

4.3. You are responsible for all activity in your Account. If you suspect unauthorised use, notify us without delay at the email address in Section 14.

5. Prices and payment

5.1. Prices

  • Plan prices are shown on the Website in US dollars (USD), unless another currency is stated.
  • The price shown at checkout is the total price for the Billing Period. It includes all fees charged by the Provider.
  • Your bank or Payment Provider may charge its own fees, such as currency conversion or network fees.

5.2. Payment is made through the Payment Providers offered at checkout.

5.3. Your payment obligation is fulfilled when the Payment Provider confirms the successful payment.

5.4. Price changes

  • The Provider may change Plan prices. Changes do not affect a Billing Period that has already been paid.
  • For auto-renewing Subscriptions, we notify you of a price change before it applies to your next Billing Period. You may cancel before the change takes effect.

5.5. Promotions

  • Discounts and special offers apply only during their stated period and on their stated conditions.
  • Price differences from a promotion that has ended are not refunded.

5.6. After each payment you receive an electronic confirmation by email. It contains the details of the Plan, the price, the Billing Period and a link to these Terms.

6. Subscription term, renewal and cancellation

6.1. Start of access. The Subscription starts when payment is confirmed. Access to the paid features is opened promptly and normally immediately.

6.2. Automatic renewal

  • Where the Payment Provider supports recurring payments and the Plan is stated as auto-renewing, the Subscription renews automatically for the same Billing Period at the then-current price.
  • This continues until you cancel.
  • Where recurring payments are not supported, the Subscription ends at the end of the paid Billing Period unless you pay for the next one.

6.3. Cancelling

  • You can cancel automatic renewal at any time in your Account settings, through the Payment Provider, or by email to the address in Section 14.
  • Cancellation takes effect at the end of the current paid Billing Period. Access continues until that date.

6.4. When the Subscription ends, access to the paid features stops. The Account may remain available on a free plan if one exists.

7. Right of withdrawal and refunds

7.1. 14-day right of withdrawal. If you are a consumer, you may withdraw from the Agreement within 14 days of its conclusion without giving a reason. You do this by sending a clear statement to the email address in Section 14. You may use the model withdrawal form in Annex 1, but you do not have to.

7.2. Immediate access

  • The Service is provided immediately after payment.
  • At checkout you expressly request that performance start before the withdrawal period ends.
  • If you then withdraw within 14 days, we refund the price minus a proportionate amount for the period during which the Service was available to you.
  • Once the Service has been fully provided for the paid Billing Period, the right of withdrawal no longer applies.

7.3. Refund process

  • Refunds are made within 14 days of receiving your withdrawal notice.
  • Refunds go back through the same Payment Provider and payment method used for the purchase, unless we agree otherwise.
  • Fees charged by third parties are not refundable where the law allows this. These include bank fees, Payment Provider fees and blockchain network fees.

7.4. No refunds outside these cases

  • Outside the cases in Sections 7.1 to 7.3, no refunds are given for a Billing Period that has already started.
  • This does not apply where the Service was not provided because of the Provider's fault, or where mandatory law provides otherwise.

7.5. On withdrawal or a refund, access to the paid features is closed.

8. Rules of use

8.1. You must not:

  • share, resell, sublicense or otherwise give third parties access to the Service or the Content;
  • copy, scrape, systematically download, extract, redistribute or publish the Content, including scores, data and alerts, in whole or in part, without our written consent. Short quotes for personal or non-commercial discussion are allowed if IB · BEURS is clearly named as the source;
  • use the Content to build a competing product or dataset, or to train machine-learning models;
  • reverse-engineer, decompile or try to access the source code or non-public parts of the Service;
  • interfere with the security or performance of the Service, or use bots or automated access except through interfaces we expressly provide;
  • use the Service for unlawful purposes, or in breach of sanctions or export-control laws that apply to you.

8.2. Breach

  • If you seriously or repeatedly breach Section 8.1 or Section 4.2, the Provider may suspend or terminate your Account. We notify you by email.
  • In the case of a material breach, such as sharing or reselling access or mass extraction of Content, the remaining Subscription period is not refunded. This is without prejudice to the Provider's right to claim damages.

9. Intellectual property

9.1. The Service, the Content and all trademarks, designs, texts, software, databases and methodologies of IB · BEURS belong to the Provider or its licensors. They are protected by law.

9.2. Apart from the limited right of access in Section 2.3, nothing in these Terms transfers any intellectual property rights to you.

10. Availability and changes to the Service

10.1. The Provider aims to keep the Service available at all times but does not guarantee uninterrupted or error-free operation. Interruptions may happen because of maintenance, updates, third-party data or hosting failures, or circumstances beyond our control.

10.2. The Provider may develop, change, add or remove features of the Service. If a change materially reduces the core features of your paid Plan, you may cancel your Subscription.

11. Liability

11.1. The Service and the Content are provided "as is" and "as available". To the extent permitted by law, the Provider does not guarantee:

  • the accuracy, completeness or timeliness of the data;
  • any particular result from using the Service.

11.2. The Provider is not liable for:

  • any trading or investment losses, or lost profits, resulting from decisions you make using the Service;
  • the actions of banks, Payment Providers, data providers or other third parties;
  • inability to use the Service because of your equipment, internet connection or software.

11.3. Cap on liability. The Provider's total liability under the Agreement is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim. Only actual direct damage may be recovered.

11.4. What the limitations do not cover. Nothing in these Terms limits or excludes:

  • liability that cannot be limited or excluded by law;
  • liability for intent or gross negligence;
  • your mandatory rights as a consumer under the law that applies to you.

11.5. Force majeure. Neither party is liable for failure to perform caused by circumstances beyond its reasonable control (force majeure).

12. Complaints and disputes

12.1. Send complaints and claims to the email address in Section 14. Include your Account email and a description of the issue. We reply within a reasonable time.

12.2. The parties will try to resolve disputes by negotiation first.

12.3. These Terms and the Agreement are governed by the law of Georgia. If no agreement is reached, disputes are resolved by the competent court of Georgia in Tbilisi. If you are a consumer, this choice of law and court does not deprive you of the protection of the mandatory laws and courts of your country of residence.

13. Changes to these Terms

13.1. The Provider may amend these Terms. The current version is always available on the Website, with its version date.

13.2. Material changes

  • We notify active subscribers of material changes by email before they take effect.
  • If you do not agree, you may cancel your Subscription before the changes take effect.
  • Changes do not apply to a Billing Period that was already paid before the change, unless the change is required by law.

14. Final provisions and contact details

14.1. The Agreement starts on acceptance and lasts until the Subscription ends and all obligations are fulfilled.

14.2. If any provision of these Terms is invalid, the remaining provisions remain in force.

14.3. Emails sent to and from the addresses stated in these Terms and in your Account count as valid written communication between the parties.

14.4. Personal data is processed under the Privacy Policy at https://ib-beurs.com/privacy.

14.5. These Terms may be provided in several languages. If the versions differ, the English version prevails, unless mandatory law provides otherwise.
